1. Agreement to Terms

By engaging Dark Design Studio ("we", "us", "our") for website design and development services, you ("Client", "you", "your") agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

2. Services Provided

Dark Design Studio provides website design, development, hosting, and maintenance services as described in our service packages. Services include but are not limited to:

  • Website design and development
  • Mobile-responsive website creation
  • Search engine optimization (SEO) services
  • Google Business Profile setup and optimization
  • Website hosting and maintenance
  • Content management and updates
  • Technical support

3. Payment Terms

3.1 Initial Payment: A deposit or full payment is required before work begins, as specified in your service agreement.

3.2 Payment Methods: We accept payment via bank transfer, credit/debit card, or other agreed methods.

3.3 Recurring Payments: Monthly subscription services (e.g., hosting, maintenance plans) will be charged automatically on a monthly basis until cancelled.

3.4 Late Payments: Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 8% per annum above the Bank of England base rate.

3.5 Refunds: Refund policies vary by service. Custom development work is generally non-refundable once commenced. Hosting and maintenance subscriptions may be cancelled with 30 days' notice.

4. Project Timeline and Delivery

4.1 Delivery Timeline: We aim to deliver websites within the timeframe specified in your package (typically 7 days for standard packages). Timelines may vary based on project complexity and client responsiveness.

4.2 Client Responsibilities: You agree to provide all necessary content, images, logos, and information in a timely manner. Delays in providing materials may extend project timelines.

4.3 Launch: Upon completion and your approval, we will launch your website. You are responsible for reviewing and approving the final product before launch.

5. Revisions and Changes

5.1 Revision Policy: Packages that include "unlimited revisions" are subject to the following limitations:

  • Revisions must be reasonable and within the scope of the original project
  • Revisions are limited to content, text, and minor design adjustments
  • Major structural changes or complete redesigns may incur additional charges
  • Revisions must be requested within a reasonable timeframe after delivery

5.2 Unlimited Services Limitation: Any service or feature labelled as "unlimited" (including but not limited to unlimited revisions, unlimited pages, unlimited hosting, unlimited tasks) is subject to cancellation or modification if:

  • Your business closes down or ceases operations
  • Five (5) years have passed since the service commencement date
  • We reasonably determine that the unlimited service is being abused or used in a manner inconsistent with fair use
In such cases, we will provide 30 days' written notice before modifying or cancelling the unlimited service.

6. Intellectual Property

6.1 Client Content: You retain ownership of all content, images, logos, and materials you provide to us.

6.2 Website Ownership: Upon full payment, you own the final website design and code. We retain the right to use the website as a portfolio example unless otherwise agreed.

6.3 Third-Party Assets: Any third-party assets (fonts, stock images, plugins) remain subject to their respective licenses. You are responsible for ensuring proper licensing.

6.4 Our Work: We retain ownership of any custom code, frameworks, or tools we develop, unless specifically transferred in writing.

7. Hosting and Maintenance

7.1 Hosting Services: Hosting services are provided on a subscription basis. We will maintain reasonable uptime but do not guarantee 100% availability.

7.2 Maintenance Plans: Maintenance plans include regular updates, backups, and minor changes as specified in your plan. Major changes may incur additional charges.

7.3 Cancellation: You may cancel hosting or maintenance services with 30 days' written notice. Upon cancellation, you are responsible for migrating your website if desired.

7.4 Data Backup: We perform regular backups, but you are encouraged to maintain your own backups of important content.

8. Warranties and Disclaimers

8.1 Service Warranty: We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific results, rankings, or business outcomes.

8.2 Third-Party Services: We are not responsible for the availability or performance of third-party services (e.g., Google, social media platforms, payment processors).

8.3 Browser Compatibility: We design for modern browsers. We are not responsible for compatibility with outdated browsers.

9. Limitation of Liability

9.1 Maximum Liability: Our total liability to you for any claim shall not exceed the total amount paid by you for the specific service in question.

9.2 Indirect Damages: We shall not be liable for any indirect, consequential, or special damages, including but not limited to loss of profits, business interruption, or loss of data.

9.3 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

10. Termination

10.1 Termination by Client: You may terminate services with 30 days' written notice. You remain responsible for all fees incurred up to the termination date.

10.2 Termination by Us: We may terminate services if you breach these terms, fail to pay, or engage in illegal activities. We will provide reasonable notice where possible.

10.3 Effect of Termination: Upon termination, you will lose access to hosting and maintenance services. You may request a copy of your website files.

11. Data Protection

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your data.

12. Dispute Resolution

12.1 Good Faith: We encourage resolving disputes through good faith communication.

12.2 Governing Law: These terms are governed by English law and subject to the exclusive jurisdiction of English courts.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance.
